OK. I’m ignorant on this stuff. Can you explain to me just exactly what this is? Also, who are Willis Capital, Big Bang Racing, and 21st Century Racing Holdings and who runs them?:confused:

This is an SEC filing of stock ownership. Open Wheel Racing Series LLC appears to be the umbrella company for the new C^RT owners.
21st Century Racing Holdings LLC is Kevin Kalkhoven's company. Paul Gentilozzi's company appears to be Big Bang Racing LLC, which is a partner with Open Wheel Racing. Willis Capital, L.L.C. appears to be a Forsythe company. OK so Gentilozzi and Forsythe are racing men to their core. Kalkhoven is a great businessman, but he has only been in racing for one season. He can handle the business part of this thing, but does he have passion for the sport? I don't want to knock the guy because right now he apears to be a knight on a white horse, but I would like to see a guy with methenol in his veins. (or gas, JP-8, Avgas...) This looks good to me from here.

I gotta say, I'm with most of the people here who have no idea what the deal is with all the legal specifics and crazy forms, but I can at least tell the CART is owned privately again. And I've got to say, it's about ******* time! So I am to understand that it is Gentilozzi, Forsythe, and Kalkhoven are the only holders, or could other people be involved in the holding groups that you reffered to as "umbrella companies"? I'd sort of hope Rahal and Newman are involved, as they seem to have a valuable attachment to tracks like Laguna Seca, Mid-Ohio, and Elkhart Lake.... And I half expected to see Mario's name pop up somewhere...

Interesting to note that 3377400 shares are 22.9% of the company - which is exactly what Forsythe has been holding. What does this move do to the holdings of the company?
I thought that I read somewhere that Kalkhoven has done some (amateur?) racing at some stage. He has only been a CART team owner this year, but I think his involvement in racing goes back a bit further. Tailwind, I plan on being up in Denver for at least part of the weekend. Will you be there? |

Here is what it means:
Gerald Forsythe has recuited two partners and is himslef now a minority holder (Willis Capitol shares adress with Indeck Power). Kevin Kalkhoven appears to control three of the six entities (himself, 21st Century Racing Haoldings, and Open Wheel Racing Series), while Paul Gentilozzi controls two (Big Bang Racing and himself of course). Thus Forsythe's 3,377,400 shares (22.95%) are now held as follows: 50% Kalkhoven, 33.3% Gentilozzi, 16.7% Forsythe Another 920,900 shares (6.26%) was bought up on the market by George Eaton (his address is on the form), of Eaton family (Eaton's) fame. He appears to be a freindly. He may be a passive part of the buying group, or simply a proxy holding shares to sell to the above group. It should be noted that Weatons Holding Ltd. listed CART HQ as their address. So I strongly suspect he is friendly. (NOTE: his shares were bought in the open market, mostly at $1.45-1.50 price range.) The "freindlies" thus control 4,298,300 shares (29.2%) of MPH. That leave 10,419,834 shares not in the control of the buying group. Including 1,255,000 (8.53%) held by Jonathon Vannini. So there is still a long way to go. Also Chris Pook has to swallow his pride and sign the settlement of Joe Heitzler for $2M, including an admission of defanation of character and wrongful termination by Pook. (Advice to Chris Pook, "Now ... you may feel a slight sting, that's pride ... pride messing with your mind ... Pride only hurts, it never helps" from Marsellus in Pulp Fiction ) Clearly also Paul Newman, whose comments helped spike MPH's price, is one of those whom Paul Gentilozzi had in mind when he said those talking had no knowledge of what is going on. He is not in the buying group. If this group closes the deal, then we have a picture of next year. Expect two cars from PKR, one maybe two from Rocketsports, and one from Forsythe. If they move fast the Mexicans should be back, as well as one or two cars from Newman-Haas. Very interesting. |

Just because someone holds shares now does not, of course, mean that binding agreements are not in place for those shares to be transferred on in the future...

It sounds encouraging. Things aren't sealed yet, we can't be sure that CART will exist in 2004, but it looks more than likely. These guys have put enough money in for it to be clear thatt they will go to a lot of effort to avoid the series gong under, and they probably have more money on offer in reserve (Forsythe certainly should).
Expect some official confirmation by the end of September at the latest, by which point new teams should be considering entry, the existing teams won't ahve signed over to the IRL, and maybe Nunn, Franchitti and any otehrs will still have options of returning. |

I'm thinking that high-fives aren't in order quite yet.
Mark C. is reporting that George Eaton is an associate of Vannini's, so their combined shares are 15 percent. Vannini's against the grain on this one, so Vannini/Eaton vs. Kalkhoven/Forsythe/Gentilozzi shapes up to me as a huge proxy fight before MPH goes private and that can play itself out in any direction as the big hitters make their moves. There is no tender offer yet and it's unlikely that will happen for some time as all these elephants jockey for position. I'd expect the stock price to go up next week if all these guys are looking for partners to buy in for more shares/votes. All are looking for a way to pay themselves to take it private. As sgw2 said, very interesting as to how it'll all play out. |

so this is quite good! we have gentilozzi kalkoven(for reason i don't get) and minority forsythe(too bad he is good for champ car)Vannini make me feel wierd, i wish he was out of the game, and is Eaton really a Gentilozzi associate? afterall isn't it eaton who sponsors gentilozzi's trans-am car? If the BOD allowed another entity to form with over 15% interest with the intent of them taking the company private by combining their interest with Forsythe's that would be circumventing the poison pill without informing the shareholders. That would not be in the shareholder's best interests and would give Vaninni something legitimate to sue over.
There's nothing "worst case" about this. It's the way it has to happen. A company has to be formed to tender the offer and they've done just that. |

interesting...well it should at least put to rest those that don't (for some reason) believe that anyone is interested in taking MPH private. But, there's a long way to go yet. I'm hopeful they can get this together, so that they can make some sort of announcements as to 2004 plans ASAP.
